Explanation of Responses:
1. On November 11, 2023, Dominic Bassani (The Company's COO) passed away (see 8k filed 11/15/2023) leaving his ownership in Bion securities to his spouse, Linda Bassani, who is the executor of the Dominic Bassani Estate "DB Estate".
2. On June 30, 2024 the "DB Estate" voluntarily surrendered 770,792 shares that would have been issued as the result of the conversion of $652,252.15 of deferred compensation. $300,000 was convertible @ $.75/share and $352,252.15 was convertible @ $.95 under the terms of his agreement.
3. On June 30, 2024, the DB Estate voluntarily surrendered 3,025,000 options with exercise prices ranging from $.75 to $ 1.20 and with a price adjustment ranging from 75% to 90%. These options had expiration dates from 1/15/2025 to 12/31/2026.
4. On June 30, 2024, the DB Estate voluntarily surrendered $17,733.92 of the Adjusted 2015 Replacement Note # 2 balance which was convertible into 154,208 shares of common stock at $.115. The balance of the note after this transaction is $7,906.66 which is convertible into 68,754 shares of common stock under the same terms. The maturity date of this note is 1/15/2025.
5. As of June 30, 2024, the DB Estate owns 325,000 warrants @ $.75 until 1/15/2025 and Linda Bassani owns 150,000 warrants @ $.75 until 1/15/2025. These warrants carry a potential price adjustment of 75%.
6. As of June 30, 2024, the DB Estate owns 640,000 warrants @ $.75 until 1/15/2025 and Linda Bassani owns 100,000 warrants @ $.75 until 1/15/2025. These warrants carry a potential price adjustment of 90%.
7. As of June 30, 2024, the DB Estate is the owner of the 2020 Convertible Collateral Note with a balance of $373,998.60 which is convertible into 747,998 shares and 493,679 warrants. The maturity date of this convertible note is 1/15/2025.
8. As of June 30, 2024 the DB Estate is the owner of the 2015 Replacement Note #1 with a balance of $164,182.66. This note is convertible into 273,638 shares. The maturity date of this convertible note is 1/15/2025.
9. Included in the holdings of the DB Estate are all the securities held (directly and indirectly) by Danielle Lominy, the adult daughter of Linda Bassani who resides within Linda Bassani's residence. See Form 4 filing of 7/2/2024 for Danielle Lominy.
