ITEM 8.01 OTHER EVENTS.
On June 18, 2012, Commerce Group Corp. (the "Company") and San Sebastian
Gold Mines, Inc., an affiliate which is 82 1/2% owned by the Company,
submitted a request for additional time to the International Centre for
Settlement of Investment Disputes ("ICSID") to pay the $150,000 advance
deposit requested by ICSID to cover the cost of the hearing on the
Application for Annulment. On June 21, 2012, the Government of El
Salvador("GOES")objected to the request. Both the request and objection
have been forwarded to the annulment committee.
ICSID Administrative and Financial Regulation 14(3)(d) and (e),
authorizes the Secretary-General, at his or her discretion, to
discontinue proceedings in the event of nonpayment in excess of six (6)
months. If the proceeding remained stayed for non-payment for a
consecutive period in excess of six months, the Secretary-General may,
after notice to and as far as possible in consultation with the parties,
move that the ad hoc Committee discontinue the proceeding.
As previously reported, the Secretary-General of ICSID has moved that the
ad hoc Committee stay the proceeding in this case, and on December 19,
2011 the ad hoc Committee decided to stay the proceeding because the
payment was not made.
A full text of the June 18, 2012 and June 21, 2012 request and objection
sent to the Secretary-General by respectively the Company and counsel for
GOES will be posted on the Company's website (www.commercegroupcorp.com).
