The compilation, dissemination and review of the information required to be presented in the quarterly report on Form 10-Q for the period ended March 31, 2024 (the “Quarterly Report”) imposed time constraints that have rendered timely filing of the Quarterly Report impracticable without undue hardship and expense to the registrant. In accordance with Rule 12b-25 of the Securities Exchange Act of 1934, as amended, the registrant endeavors to file its Quarterly Report no later than fifth calendar days following May 14, 2024, the prescribed due date. Such extended due date falls on a weekend this year and therefore will be the next day following May 19, 2024, i.e., May 20, 2024.
