Item 8.01 Other Events.
On June 13, 2022, Financial Institutions, Inc. (the “Company”) issued a press release announcing that its Board of Directors has approved a stock repurchase program for up to 766,447 shares of its common stock, or approximately 5% of the Company’s outstanding common shares. The repurchase program permits shares to be repurchased in open market transactions and pursuant to any trading plan that may be adopted in accordance with Rule 10b5-1 of the Securities Exchange Act of 1934. The timing and number of shares repurchased will depend on a variety of factors including price, corporate and regulatory requirements, market conditions, and other corporate liquidity requirements and priorities. The repurchase program does not obligate the Company to purchase any shares and it may be extended, modified or discontinued at any time.
A copy of the press release announcing the approval of the share repurchase program is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
