Item 3.02 – Unregistered Sales of Equity Securities

 

On October 24, 2015 the Company issued 43,791,667 shares of common stock to Vis Vires Group Inc on a partial conversion of a convertible note in the value of $5,255.00 ($0.00012 / share). 

 

On October 27, 2015 the Company issued 25,981,818 shares of common stock to Coventry Enterprises, LLC on a partial conversion of a convertible note in the value of $2,858.00 ($0.00011 / share).

 

On October 27, 2015 the Company issued 52,000,000 shares of common stock to Vis Vires Group Inc on a partial conversion of a convertible note in the value of $6,240.00 ($0.00012 / share). 

 

On October 28, 2015 the Company issued 25,810,824 shares of common stock to Service Trading Company LLC on a partial conversion of a convertible note in the value of $3,148.92 ($0.00012 / share). 

 

This issuance of shares was exempt under Section 4(a)(2) of the Securities Act.  

 

As of October 30, 2015, there are 668,314,079 common shares issued and outstanding.
