Item 2.01. Completion of Acquisition or Disposition of Assets.

On September 20, 2023, Highlands REIT, Inc. (the “Company”), through The Q Lofts Owner LLC (the “Purchaser”), a wholly-owned subsidiary of the Company, completed the purchase of certain real property and improvements located at 750 W. Fir Street and 1918 India Street, San Diego, California (the “Property”) for a gross purchase price of $34.2 million, exclusive of closing costs. The seller is not affiliated with the Company.
