1.01 Entry into a Material Definitive Agreement.
On
April 2, 2018, Hartford Retirement Network Corp. (the “Company”) entered into and closed an asset purchase agreement
with Shanghai Qiao Hong Real Estate, Ltd, Shanghai Qiao Garden Real Estate Group, Ltd and Shanghai Qiao Garden Information Technology,
Ltd. (collectively the “Sellers”), pursuant to which the Company purchased for RMB233Million (the “Purchase
Price”) assets from the Sellers consisting of land, buildings, right to use, construction use rights and other property
rights located in Shanghai. The Company has agreed to pay the Purchase Price in installments over the next 20 months beginning
on April 9, 2018 and ending in December 2019. The Sellers are in the business of retirement apartment management to provide the
services for the senior retirees in the urban city of Shanghai. The Company intends to pursue this business and expend the retirement
services and develop more similar facilities to meet the fast-growing market demands in Shanghai area, China.
