On November 7, 2012, Mr. Junming Peng and Mr. Shaozeng Wang
informed HQ Global Education, Inc. (the “Company”) of their resignation as a member of the board of directors of the
Company, effective immediately.
Mr. Peng and Mr. Wang stated that their
resignation was not due to any disagreement with the Company on any matter related to operations, policies or practices.
