OneWorld Smart Solutions Holdings Corp., a company involved in the fields of personal protection equipment (PPE) for COVID-19 as well as in the health and medical fields globally, has signed an agreement with iSign Media Solutions Inc. for an investment of $5-million (U.S.).
"iSign's technology and hardware fits into our existing business model, as well as with other technologies that we are looking to acquire and/or develop," stated Dallas Pokornik, OneWorld's communications director. "We are always looking for new and exciting technologies that have a fit within our operations, and we believe iSign's mobile messaging and data capture technology is a strong fit."
OneWorld has recently enjoyed global and North American sales success in the PPE and related accessories field, through its related company, OneWorld Health Solutions Corp., especially since the start of the COVID-19 pandemic. The company has recently moved its operations to Toronto, Canada, and its management was reintroduced to iSign due to iSign's efforts to use its safety alert messaging (SAM) technology to provide messaging in the medical, health and senior care fields.
OneWorld's management first became aware of iSign in its original early start-up stage, when it was employed at IBM's global software solutions team, and initiated a partnership with IBM as a software solutions provider for mobile messaging and data capture. Twelve years later OneWorld has again found the right SAAS (software-as-a-service) solution at the right time to scale iSign technology and sales in its planned introduction of the world's first artificial-intelligence-based solution and network supported by IBM's Watson computing cloud. The product to be introduced will be a small table-top device able to monitor the health and medical metrics of patients in hospitals, at home and in senior care facilities, 24 hours a day, seven days a week, with leading-edge sensors wirelessly in concert with iSign's solutions.
OneWorld is scaling far beyond PPE equipment, and is planning an entrance into the medical and health care fields globally with a safe, cost-effective and lifesaving product to be available within the next six months from iSign.
OneWorld has the financial resources to commit to this new iSign investment as well as to the hiring of staff and new management to allow for the scaling of sales and expansion into global markets with new and improved technologies.
The closing of this agreement is subject to review and acceptance by the TSX Venture Exchange.

New School Security Alert System Unveiled by iSIGN
TORONTO, Feb. 28, 2018 /PRNewswire/ - iSIGN Media Solutions Inc. In light of the recent string of school shootings in the United States, school security is becoming increasing more of an issue with school boards. Discussions have been finalized with school officials and Safety Coordinators of a school district in Indiana and iSIGN will be demonstrating the effectiveness of their SAM system to them. The demonstration, scheduled for the week of March 5th, will be conducted in the Mt. Vernon Middle School, in Fortville, Indiana and will showcase the solution's ability to rapidly alert students and faculty to a wide range of emergency situations such as an active shooter, intruder on the premises, or natural event. This pioneering solution is the first of it's kind to not only rapidly alert students and faculty, but also give clear instructions on the quickest and safest method of avoiding the threat. While SAM has already being introduced in locations in North, Central and South America, the demonstration in Mt. Vernon Middle School will serve as the first concentrated effort to utilize the mobile alert solution as a way of minimizing the deadliness of an active shooter and other threats. SAM merges both rapid mobile alerts with digital signage and proximity messaging, maximizing the chance that in the case of an emergency, students and faculty receive real-time information on the emergency and the best way of safely evacuating the premises. The solution can be integrated with existing alarms and other security measures to ensure that authorities arrive, and school attendees evacuate in as little time as possible.

TORONTO, Feb. 26, 2018 /PRNewswire/ - iSIGN Media Solutions Inc. ("iSIGN" or the "Company") (TSXV:ISD) (OTCQX: ISDSF), a leading provider of interactive mobile advertising solutions that serves advertisers, manufacturers, retailers and advertising agencies throughout North America, today announced that it intends to complete a financing by way of private placement of a secured convertible promissory note (the "Note"), for aggregate gross proceeds of $285,000.
The Notes will have a term of two years and will accrue interest at a rate of 10% per annum, payable upon maturity.
The principal amount can, at the option of the Note holder, be converted into units of the Company (the "Units") at a price equal to $0.07 per Unit. Each Unit shall be comprised of one common share of the Company (a "Unit Share") and one common share purchase warrant (a "Warrant"). Each Warrant shall be exercisable to acquire one common share of the Company (a "Warrant Share") for a period of two years following the date of issuance of the Warrant at an exercise price of $0.105 per Warrant Share. The Unit Shares and Warrants (and, if applicable, the Warrant Shares) will be subject to a minimum hold period of 4 months from the date of issue of the Notes.
The Company anticipates closing the private placement as soon as practicable, subject to receipt of all necessary regulatory approvals, including the approval of the TSX Venture Exchange. The proceeds from the sale of the Notes will be used for general working capital and software development.
The Note holder, Korona Group Ltd., is wholly owned by Josip Kozar, who is deemed to be a "related party", as such term is defined in Multilateral Instrument 61-101 Protection of Minority Security Holders in Special Transactions ("MI 61-101"), of iSIGN, being the Company's Chief Executive Officer and holding approximately 12.0% of the issued and outstanding common shares of the Company. As such, the issuance of this Note is a "related party transaction" for the Company. For this transaction, the Company has relied on the exemption from the formal valuation requirements of MI 61-101 contained in section 5.5(a) of MI 61-101 and has relied on the exemption from the minority shareholder approval requirements of MI 61-101 contained in section 5.7(a) of MI 61-101.

The customer enters the broadcasting range (30 to 300 feet or 10 to 100m) of the Interactive Media Solutions (IMS) Unit or Smart Antenna. ("iSIGN" or "Company") (TSX VENTURE:ISD) (OTCQX:ISDSF), a leading provider of interactive mobile advertising solutions that serves advertisers, manufacturers, retailers and advertising agencies throughout North America, today announced that it has entered into an Memorandum of Agreement ("Agreement") to acquire all of the issued and outstanding shares of POS Canada ("POS").
Under the terms of the Agreement which is non-binding, iSIGN will acquire all outstanding shares of POS Canada on or before July 31, 2014. Pursuant to the Agreement iSIGN will now complete its due diligence process and if satisfactory, will proceed to negotiate the terms of a definitive Purchase Agreement, The acquisition is subject to executing a legally binding Purchase Agreement between the parties and to obtaining TSX Venture Exchange approval.
The acquisition of POS will provide the Company with an immediate expanded source of revenue from POS' existing base of approximately 2,000 clients in the high-end corporate hospitality and retail industries and provides iSIGN with an immediate client and data base for its Point of Sales Data Acquisition ("PDAQ") solution and hardware.
The PDAQ solution results in the Company being able to provide a truly unique offering that joins POS' leading edge point-of-sale hardware and software with iSIGN's proximity-based Smart Antenna and Smart Player hardware, which broadcasts to mobile devices, as well as the ability to manage digital signage. The Integrated data from point-of-sale, digital signage and proximity mobile broadcasting assets will be the first of its kind in the world, providing information from a range of sources in real-time to advertisers, brands and the hospitality and retail industries. It further allows the Company to marry point-of-sale data with data gathered from mobile interactions to provide a more enhanced and valuable inventory of data that the Company expects will be of great interest to clients, advertisers and brands.
iSIGN's data partners and clients consider the ability to review, compare and potentially combine insights from mobile interaction data with those derived from point-of-sale installations to be of prime importance to the Company's ability to grow its data sales business and to increase its data sales pricing based on significant additional value.
Following the completion of the acquisition of POS Canada by iSIGN, iSIGN intends to file additional patent applications, ancillary to its already granted patent Application No. 11/986,650, Art Unit 3693.
iSIGN's application for a patent on its "method and system for out-of-home proximity marketing and for delivering awareness information" was initially filed November 27, 2007 and published on April 17, 2008. Pinpoint Media Group Inc. has partnered with iSIGN Media Solutions Inc. to enhance its network.
iSIGN's Interactive Marketing Solution 3.0 software will be embedded into the Mac's/Couche-Tard convenience store chain's digital signage network in Canada, commencing Jan. 4, 2011, in Quebec first where it has over 85 per cent of the market share in the convenience/gas retail market. Installations will follow in Ontario where it has a 65-per-cent share of the market and Western Canada, where it has a 60-per-cent share of the market.
The addition of iSIGN's patent-pending proximity-based interactive advertising solution will expand the reach of all signage advertising content to mobile phones, capturing shoppers' response and allow for real time analysis. Pinpoint will be the first major advertising footprint to include "Business Intelligence" data gathering to its advertising clients.
The Pinpoint network consists of 5,200 digital signs/faces and is contributing and influencing the $8 billion in annual transactions from up to 1.5 million daily customers in Pinpoint enabled locations.
Once all signage is embedded and advertisers request activation of the IMS 3.0 software, annual revenues of just over $8 million will be generated by iSIGN's monthly licensing fees. The embedding is an automated process, performed remotely, as is the activation which will be done throughout the network to engage advertisers.
"In 2011 Pinpoint Media will be the largest digital signage footprint offering all brand and service advertisers our iSIGN powered interactive messaging to mobile phones in proximity of each location to increase consumer awareness and spontaneous purchases in the Mac's/Couche-Tard chain," said Alex Romanov, iSIGN's Chief Executive Officer. AOpen America Inc. has commenced the embedding of iSign Media Solutions Inc.'s Interactive Media Solution (IMS) 3.0 software into its digital media players.
The partnership has led to the creation of the world's first multifunction media player, capable of providing content management, Bluetooth message broadcasting and data logging of consumer responses into a single unit. ISIGN MEDIA SOLUTIONS INC. ANNOUNCES NEW PROPOSED PRIVATE PLACEMENT OF UNITS
iSIGN Media Solutions Inc. has entered into an agreement with Byron Securities Ltd. as agent to complete a best efforts private placement financing to raise up to $2,000,000. Pursuant to the engagement agreement with the Agent, the Brokered Offering will be comprised of up to 10,000,000 units ("Units") of the Company at a price of $0.20 per Unit, each Unit comprised of one common share of the Company and one-half of one common share purchase warrant ("Warrant"), with each whole Warrant exercisable into a common share of the Company at an exercise price of $0.30 for a period of 24 months.
The closing of the Brokered Offering is expected to occur on or about October 22, 2010 and is subject to receipt of all necessary regulatory approvals including that of the TSX Venture Exchange.
The Company has agreed to pay the Agent a cash commission of 10% of the gross proceeds of the Brokered Offering and to issue broker warrants entitling the Agent to purchase that number of Units equal to 10% of the number of Units sold pursuant to the Offering. Such broker warrants will be exercisable at any time until the 24 month anniversary of their issuance at a price of $0.20 per Unit.
The Company has also arranged for a non-brokered offering (the "NB Offering") of up to 1,250,000 Units at an issue price of $0.20 per Unit, for gross proceeds of up to $250,000. In connection with the NB Offering, the Company has agreed to pay finders a cash commission of 10% of the gross proceeds arranged for by such finders and finder warrants entitling such finders to purchase that number of Units equal to 10% of the number of Units sold pursuant to the NB Offering. Such finder warrants will be exercisable at any time until the 24 month anniversary of their issuance at a price of $0.20 per Unit.
The closing of the NB Offering is expected within a week and is subject to receipt of all necessary regulatory approvals including that of the TSX Venture Exchange.
Proceeds of the Offering and the NB Offering will be used to fund general working capital, including marketing, and research and development.
The Company has also cancelled its previously announced financing (dated July 21, 2010) and put option with easyAd Group AG (dated September 27, 2010).

iSign Media Solutions Inc. has received its first order from BlueStar Inc. under the distribution agreement that was entered into on June 4, 2010, for the first 1,500 deluxe edition location-based interactive proximity software licenses and 1,500 transceivers.
"The iSIGN transceiver is a customized, range adjustable antenna that when attached to any digital media player powered with our IMS 3.0 software, will broadcast messages to Bluetooth enabled mobile phones and capture shopper analytics," said Alex Romanov, iSIGN's chief executive officer. "We are pleased to receive the first of what we feel will be many orders from BlueStar and their VAR's customers for IMS 3.0 transceivers, which will lead to the activation of our software in all compatible digital media players in first, second and third tier channels."
The value of this initial order is $262,500 (U.S.). When these 1,500 software licenses are fully activated by the retailer, gross revenues to iSign will yield a minimum of $4.42-million (U.S.) over the thirty-six month term.
