Item 1.01 Entry into a Material Definitive Agreement.
 
On February 2, 2009, KAL Energy, Inc.(the “Company”) entered into a subscription agreement with its chairman and CEO, William Bloking, and sold 6,000,000 shares of its common stock, par value $0.0001 per share, at a purchase price of $0.01 per share in a private transaction.

The subscription agreement is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

Item 3.02 Unregistered Sales of Equity Securities.

The private transaction, described above in Item 1.01 and incorporated by reference herein, was for total proceeds of $60,000.  The Company intends to use these proceeds for general working purposes.
