State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q,10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

Landmark Land Company, Inc. ("Registrant") is not timely filing its quarterly report on Form 10Q for the three months ended June 30, 2010. The Registrant's inability to file at this time is due to cash flow difficulties that have prevented performance of necessary audit work and auditor review of financial statements for the prior fiscal year and the second quarter of 2010. Although the Registrant is currently seeking to resolve its cash flow issues, the Registrant does not anticipate receiving sufficient cash flow to allow for the completion of the prior year audit and the completion and review of the Form 10Q for the three months ended June 30, 2010 in time to file by the 15th calendar day following the required filing date of August 14, 2010 as permitted in Rule 12b-25.
