Certifying Accountant
Previous Independent Accountants
As disclosed in our Current Report on Form 8-K dated
November 29, 2022, on November 22, 2022, L&L CPAs, PA, the principal accountant engaged to audit the registrant's financial statements,
resigned its position.
New Independent Accountants
On December 16, 2022, our Board of Directors appointed Hudgens CPA, PLLC
of Houston, Texas (“Hudgens CPA”) as our independent registered public accounting firm, to audit our financial statements
for the year ended December 31, 2022. During our two most recent fiscal years and the subsequent interim periods preceding their appointment
as independent accountants, neither we nor anyone on our behalf consulted Hudgens CPA regarding either the application of accounting principles
to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered of our financial statements,
nor has Hudgens CPA provided to us with a written report or oral advice regarding such principles or audit opinion
