Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On
July 29, 2021, the Board of Directors (the “Board”) of Minim, Inc. (the “Company”) approved a cash bonus payment
to Nicole Zheng, the Company’s President and Chief Marketing Officer, for the Company’s performance in the first half of
2021 in the amount of $32,705.50.

On
July 29, 2021, the Company issued a press release announcing the closing of its public offering. A copy of the press release is attached
hereto as Exhibit 99.1 and is incorporated herein by reference.
