Explanation of Responses:
(1)  Based upon inaccuracies regarding the amounts due and owing under certain convertible promissory notes, Mr. Paolucci agreed to cancel the share certificate evidencing 22,720,000 shares of restricted common stock previously issued based upon conversion of the notes and return 75,733 shares to treasury. The 22,720,000 shares were reduced to 75,733 shares in accordance with the reverse stock split of one for three hundred (1:300).
(2)  Based on equity holdings of the records of the transfer agent, this Form 4 is amended to correct the total equity holdings of the Reporting Person.
