7.01 Regulation FD Disclosure
On
December 1, 2022, Purebase Corporation issued a press release announcing the entering into a non-binding Term Sheet with Arelac, Inc.,
doing business as Fortera Corporation for development of a commercial plant. On May 2, 2023, Purebase issued a press release announcing
that it would not be pursuing the commercial plant with Fortera. A copy of the press release is attached as Exhibit 99.1 to this report
and incorporated herein by reference.
