Explanation of Responses:
( 1)  On April 22, 2014, Radioio, Inc. ("Radioio") issued 29,120 shares of its common stock to Real eMarketing, Inc. in satisfaction of a payable in the amount of $21,840 owed to Digipowers, Inc. for services provided to Radioio during 2013. The price per share was equal to the closing price of Radioio's common stock on the last trading day of 2013. Digipowers, Inc. and Real eMarketing, Inc. are affiliates of Julia Miller, the Chief Operating Officer and Secretary and a director of Radioio.
