German hospital operator Rhoen-Klinikum AG (RHK.XE) late
Thursday said that its shareholder B. Braun Melsungen AG has filed
a lawsuit against the sale of 43 clinics to Fresenius SE (FRE.XE)
unit Helios.
MAIN FACTS:
-B. Braun Melsungen has filed a lawsuit with the Schweinfurt
Regional Court against the sale of 43 of Rhoen's clinics and
affiliated companies to Helios.
- The lawsuit aims to determine that the share purchase
agreement with Helios is void or, alternatively, may only be
completed subject to the approval by the Rhoen's general meeting
with a majority of more than 90%. In addition, the Company shall
refrain from any actions aiming at completing the transaction.
-Rhoen doesn't believe the transaction falls within the
competence of the general meeting, adding that the share purchase
agreement with Helios is lawful and valid.
-Rhoen said it will defend itself against this unfounded lawsuit
and continues to expect that the transaction will be successfully
completed.
