Strategic Environmental & Energy Resources, Inc. (the “Company”) previously relied on the Securities and Exchange Commission’s Order under Section 36 of the Securities Exchange Act of 1934 Modifying Exemptions from the Reporting and Proxy Delivery Requirements for Public Companies dated March 25, 2020 (Release No. 34-88465) (the “Order”) to delay the filing of its Annual Report on Form 10-K (the “Report”) due to circumstances related to the coronavirus disease 2019 (“COVID-19”). On March 30, 2020, the Company filed a Current Report on Form 8-K pursuant to the Order. The disruption imposed on the Company and the Company’s auditors by COVID-19, closures and shelter in place orders in Colorado, Texas, and Illinois have continued to cause the Company to experience a delay in its ability to complete and file the Report, which could not be eliminated without unreasonable effort or expense. The Company intends to file the Report on or before the fifteenth calendar day following the prescribed due date.
