I asked earlier this week on X, for a simple response on the convert. Zip, nothing...There's my answer. Subsequently the Stock is acting accordingly imo.

Too many here remember the Genesis claims which are from the same showmen as Bateau. Price goes down because no one believes Blum anymore.

If you want to find the devil within the details, check his filings trajectory since near before the A.I acquisition. He has kept himself uniform, if you are genuinely interested or concern, study his old fins. None of the convertible notes that were supposed to be expired a year ago, aré dropped. Why? Because he extended them. If you have doubts is because you haven’t reviewed this company and the CEO trajectory well. No just my take, it is general facts. I dont question CEO Blum, because I have learned the way he works and his path view over the years.

For the record: You won’t find any devilish in his files, all clean. The users in this chat, some, not all, are questionable

So the breakdown on total shares for the loi is essentially 882 million shares issuance @ .0017.
442 million restricted. 442 million uncertain on abatement.

8k LOI by Feb 15th acquisition.
On January14, 2025, SMC Entertainment, Inc., (the “Company”) entered into a Letter of Intent to acquire 100% of Flax Tech, Ltd, a United Kingdom corporation (“Flax”). Flax is a developing Crypto disruptor company and participates in the creation of a disruption platform for research, AI interaction and trading. The acquisition is subject to the parties executing a definitive purchase agreement by February 15, 2025, (“Purchase Agreement”). The closing of the Purchase Agreement will be subject to the completion of customary due diligence and contingent upon Flax’s completion of PCAOB audited financial statements.



Under the terms of the Letter of Intent, the total consideration to be paid by the Company 100% of Flax would be $3,500,000. The consideration is payable in multiple parts, including a) the issuance by the Company of a convertible promissory note in the principal amount of $750,000; b) 441,176,470 restricted shares of the Company’s Common Stock at a share price of $0.0017, valued at $750,000, and c) $2,000,000 in working capital over the next 24 months based on certain milestones being reached. SMCE may also fund up to $150,000 at closing.

My take given the .0017 strike, convert is issued per acceptance.
Convertible share equivalent on 750k is 442 million share dilution.

Well the devil is in the details. There were some but that convertible should be cleared up stat IMO. I asked twice for a simple yes or no on abatement for 2 years. If it comes down to the 8k, hopefully we get that soon. Nobody likes uncertainty, especially given the amount. Just my take.

Thank you. I found it and found the one word response. I asked him if he could elaborate on the specific meaning regarding restricted. Upon acquisition completed? 2 year abatement etc. I'll post the response if i get one.

I've read the 8k. Terms on the convert are not clearly defined. Spare me the insults. If I've missed it, then point out where it specifies a 2 year lock up.

For you? Because I don’t see any issues with a locked 2 year convertible. By the time we get there, do you really believe we won’t be at the dollar land? Or even better, do you believe the owner of the convertible won’t wait until the best PPS opportunity? Think deep mate

Your head of steam has a burst boiler Hombre. The closing of Bateau is false. Government agency records in Australia (asic.gov.au)confirm that Bateau has not changed hands, management or shareholders, the Trustee in control of the Bateau fund is still the same.

8K provides legitimacy of such news. It is official and sealed in the 8K. It is not important unless you and others are the kind that get sold in the news from just a PR. The guarantee or at least the assurance, is at the SEC or OTC fillings
