Company’s common stock were issued to the holders of Crypto Partners in exchange for their common stock of

In connection with the Settlement, AEC has agreed to return to us, for cancellation, the 6,000,000 of our shares

On April 3, 2018, we entered into a Share Exchange Agreement with Crypto Partners, Inc. (“Crypto Partners”), a
California corporation, and the sole shareholder of Crypto Partners to acquire all of the outstanding shares of Crypto
Partners in exchange for 5,000,000 shares of our common stock. Ronald J. Miller is the sole shareholder of Crypto

On April 3, 2018, we entered into a Share Exchange Agreement with Crypto Partners, Inc. (“Crypto
Partners”), a California corporation, and the sole shareholder of Crypto Partners to acquire all of the out-
standing shares of Crypto Partners in exchange for 5,000,000 shares of our common stock. Ronald J. Miller
is the sole shareholder of Crypto Partners and will receive all of the shares under the Share Exchange
Agreement.
Crypto Partners is an emerging cryptocurrency mining company with intent to utilize solar energy to reduce
electric power consumption from cryptocurrency mining production operations. Crypto Partners has estab-
lished an initial cryptocurrency farm to provide production. The Company has procured video card tech-
nology, mining software and required ancillary computer hardware to support these initial operations.
We plan to post the company’s financial statements as soon as they are available.
