State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
Solitron Devices, Inc. (the "Company") previously planned to file its Annual Report on Form 10-K for the fiscal year ended February 28, 2023 (the "Annual Report") by May 31, 2023.
The Company is unable to timely file its Annual Report by the May 31, 2023 deadline without unreasonable effort or expense due to a delay in completion of the audit by the Company’s independent registered public accounting firm.
The Company continues to work with the goal and intention of filing the Annual Report within the fifteen day extension period provided by Securities Exchange Act Rule 12b-25.

| If so, attach an explanation of the anticipated change, both narratively and quantitatively, and, if appropriate, state the reasons why a reasonable estimate of the results cannot be made. Unaudited net sales for fiscal 2023, fiscal year ending February 28, 2023, were approximately $6.4 million versus $12.3 million in fiscal 2022, fiscal year ending February 28, 2022. Lower sales were due to accelerating shipments in fiscal 2022 prior to moving into the company’s new facility during fiscal 2023. We had minimal sales in the fiscal 2023 third quarter due to the move into the new facility, which required stoppage of production, recertification and start up. Unaudited cost of sales were $5.0 million in fiscal 2023 versus $7.5 million for fiscal 2022. Unaudited selling, general and administrative expenses were approximately $2.1 million for fiscal 2023 versus $2.5 million for fiscal 2022. Unaudited other income for fiscal 2023 was approximately $1.5 million versus $1.2 million for fiscal 2022. Preliminary unaudited net income for fiscal 2023 was approximately $0.8 million versus $3.5 million for fiscal 2022. |
