Mr. Gruder could jeopardize our business operations and exhaust the Company’s cash reserve, which may result in investors losing their entire investment.
The Company has been responding to an investigation by the Securities and Exchange Commission (“SEC”), which commenced in December 2004. In connection with the investigation, the Company received a “Wells Notice” from the SEC indicating that the staff intends to recommend that the SEC institute an action against the Company, alleging that the Company violated Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder and Sections 5(a), 5(c), and 17(a) of the securities Act of 1933. The proposed allegations relate to purported representations that the Company made about one of the Company’s products regarding when the Company would be shipping the product, the product’s status with the Bureau of Alcohol, Tobacco, and Firearms, the performance of the product, and where the Company’s stock was trading. The allegations further related to the lack of registration for sales of stock in late 2004, made by three individuals who were not officers, directors, or employees of the Company. Under the Wells process established by the SEC, the Company has been provided an opportunity to respond in writing before the staff makes a formal recommendation to the SEC regarding any action. On May 1, 2008, the SEC announced that the Honorable Willis B. Hunt, United States District Judge for the Northern District of Georgia, entered a Final Judgment as to Defendant Stinger Systems, Inc. The Company was enjoined from future violations of Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The Company consented to the entry of the final judgment without admitting or denying any of the allegations of the Commission’s Complaint. The Complaint, filed on January 28, 2008, alleged that from October 2004 through March 2005, the Company and its president, Robert F. Gruder, made a series of fraudulent material misrepresentations and omissions regarding the Company’s “flagship” stun gun product. According to the Complaint, the misrepresentations consisted of press releases and direct mailings to thousands of law enforcement officers and agencies, suggesting that Stinger was manufacturing, selling and shipping its stun gun. In fact, the product was still in the development phase. The Complaint further alleged that the misrepresentations consisted of statements on the Company’s website and/or in industry publications that indicated the Company’s stock was trading on NASDAQ, when in fact it was not. The Complaint also alleged that the Company and Mr. Gruder misrepresented that the Bureau of Alcohol, Tobacco and Firearms (“ATF”) certified the Company’s stun gun, even though the ATF offered no such certification. According to the Complaint, these misrepresentations caused a spike in the trading volume and price for the Company’s shares once it began publicly trading in November 2004. The charges in the Complaint against Mr. Gruder have not been settled and a judgment adverse to Mr. Gruder could jeopardize our business operations and exhaust the Company’s cash reserve, which may result in investors losing their entire investment.

Dr. Wayne McDaniel of the University of Missouri, performed a comparative analysis of the Stinger S-200, the Taser M26, and the Taser X26. In comparison to the Taser X26 I have found that the Stinger is comparable and even more advanced than the X26. The Stinger is more user friendly and has features that Taser's models don't have or that they charge more for. We don't need to buy different cartridges for winter and summer, as you must do with Taser. The Stinger cartridge is shielded by the weapon itself, protecting the user and the weapon's deployment system. As you know, the only defense for an officer against a suspect with knife or club is his duty weapon. With suicide by cop becoming more and more common, officers need a weapon that can immobilize an armed suspect from a distance without using deadly force, or putting the officer in danger. I believe that the Stinger will be effective and useful for this agency. Stinger's best feature is that it uses batteries that can be bought almost anywhere. A California federal jury in U.S. District Court in San Jose held Taser International responsible for the death of a Salinas man, and awarded his family more than $6 million in punitive and compensatory damages.

(OTC Bulletin Board: STIY), the leader in electro-stun technology, today announced that the "claims construction" or "Markman" bench trial in Taser v. Stinger (U.S. District Court for the District of Arizona Case) (Nasdaq: TASR) had concluded, and that the federal judge in the case will now be rendering her rulings interpreting as a matter of law the meaning of the patent claims that Taser alleges Stinger has infringed. Absent the judge's ruling, Stinger has, as a practical matter, been unable to move under federal procedures for dismissal of Taser's allegations. Stinger will however now move for dismissal, as soon as reasonably possible after it receives the judge's rulings.
In pleadings, Stinger System's, Inc. has requested that Taser be ordered to pay Stinger fees for an egregious case, implying that Taser's suit is both specious and dubiously motivated. Taser moved early in the case to discover information on the technology used to produce the Stinger S-200's new less power TRU PULSE (TM) shock waveforms, and agreed to an unusually restrictive protective order to obtain the information. Taser is no longer even asserting any of the allegations of patent infringement that it originally filed against Stinger, though the patent case continues.

Taser Sued for False Advertising, Unfair Competition and Injurious Falsehood
TAMPA, Fla., April 24, 2008 /PRNewswire-FirstCall via COMTEX/ -- Stinger Systems, Inc. (OTC Bulletin Board: STIY) a leader in electro-stun technology announced today that on Friday April 18, 2008, it filed suit against Taser International, Inc. (Nasdaq: TASR) in the United States District Court for the District of Arizona.
The suit arises from Taser's alleged distribution to potential Stinger customers of selected portions of an unfinished National Institutes of Justice Report, containing dated tests comparing Taser's model X-26 projectile stun gun to early versions of Stinger's model S-200 projectile stun gun. As the suit alleges, the National Institute of Justice, itself, has acknowledged receiving data regarding newer more advanced models of the S-200 rather than the version one model tested. The study was commissioned in 2005, prior to Stinger's S-200 being even a concept. The version one model of the S-200 was given in December 2006 after repeated requests by the testing university to make a comparison. The current model S-200 has had almost every aspect of the gun redesigned including cartridges, probes, wires, and circuitry. Virtually the only thing that remains of the gun tested and the current S-200 is the name and the external features.
The suit continues to allege in allegations 30 and 31, "Taser has represented and implied to customers and potential customers of Stinger that the NIJ study is final and relates to the current design of the S-200. This representation is false and injurious to Stinger. Taser knew these representations were false or acted in reckless disregard for the truth or falsity of these representations."
The suit seeks compensatory damages, punitive damages and attorneys' fees from Taser and an injunction.

The chairman of Taser International adamantly defended his stun guns on Wednesday, telling Canadian MPs that his company has successfully tested them on more than a million people, including himself.
Tom Smith, who testified before the House of Commons public safety committee in Ottawa, said Tasers have been tested on 600,000 police officers and more than 400,000 ordinary citizens like himself, and no serious health complications arose.
Smith said the trials were done on all types of people, in the hopes of mirroring the different people who might need to be subdued by a Taser gun in real life. Some of those tested had heart conditions, while others were under the influence of alcohol when they were stunned.
Some of the subjects were made to do intense aerobic activity before being hit so that they were fatigued when they were shocked.
"I do believe the research that is out there today - while you'll never be able to look at every possible scenario that exists - certainly covers the vast majority of cases that exist within the human body."
The public safety committee is studying the growing use of Tasers in Canada, where more than 6,800 officers are armed with the stun guns. The committee will hear testimony from RCMP officers, customs officials and airport workers before drafting a report to Parliament.
The probe comes after Robert Dziekanski, a 40-year-old Polish man, died at Vancouver International Airport after being stunned with a Taser by police on Oct. 14, 2007.
About 300 people in North America have died after being hit with a stun gun, about 20 of them in Canada, the public safety committee heard Wednesday.
But Smith argued that in 270 of the cases, Tasers were determined not to be linked to the death. In the other 30 cases, the stun gun was listed as a contributing factor in the death, Smith said, noting that other factors often played a role too.
Armed with binder full of studies
Smith, who founded the Arizona-based Taser International with his brother, came to the committee armed with a 1,300-page binder outlining more than 120 studies attesting to the safety of Tasers.
Smith said 80 per cent of the studies were done by independent researchers and were not affiliated with Taser International in any way.
While the early studies were done on animals, 15 studies have used human subjects, Smith said.
He said ethical constraints have prevented some studies with humans, such as seeing their response to being stunned while high on cocaine or another illegal drug.
"In terms of the studies that have been done, we have not seen anything conclusively that has come back, scientifically, that has said a Taser has killed," Smith said.
He said Tasers, used by 12,000 police departments in 45 countries, have actually been proven to reduce the injuries sustained by police and the people they are attempting to arrest. Without a Taser, police could be forced to use a gun, or use physical force to subdue someone, Smith said.
"We've seen injuries [reduced] in Winnipeg, Toronto, Calgary, Vancouver, Montreal, Quebec. Everywhere they've implemented a Taser," Smith said.
'I was assured that this is absolutely non-lethal'
But Liberal MP Ujjal Dosanjh noted that studies have emerged questioning the safety of Tasers. A Chicago study unearthed by CBC News on Wednesday concluded that pigs hit with Taser guns were left with heart rhythm problems. Two of the 11 pigs tested died soon after.
Dosanjh said he believes police should have a non-lethal alternative like a Taser, but he wants to be sure that the stun guns are, in fact, non-lethal.
"I was the attorney general in British Columbia when, for the first time in Canada, the device was introduced with Victoria police," Dosanjh said.
"I was assured that this is absolutely non-lethal, and that it would be used sparingly by the police, and I have now come to believe that it is riskier than I was led to believe, and in fact, it was not used as sparingly as it ought to be used."
Police not paid to promote Tasers
Dosanjh and other MPs also questioned Smith on whether he pays police to promote his stun guns.
Smith said Taser International has never paid officers to sell or promote, but in the United States, Smith said some off-duty officers are paid to train people on how to use a Taser.
In Canada, only two officers have ever been paid by Taser - one was paid to train people in Europe and another was paid to design a Taser holster.
Smith noted that his company spends at least $1 million every three months on legal fees, more than it spends on training.
