Item 7.01 Regulation FD Disclosure

On May 12, 2009, the sole director of our company approved a two (2) for one (1) reverse stock split of our authorized and issued and outstanding shares of common stock. Once effective, our authorized capital will decrease from 150,000,000 shares of common stock with a par value of $0.001 to 75,000,000 shares of common stock with a par value of $0.001 and our issued and outstanding shares will decrease from 15,020,017 shares of common stock to 7,510,008 shares of common stock.

In addition, the sole director approved the change of name of our company to “Ecologic Transportation, Inc.”.
