In connection with the completion of the restructuring
and emergence from Chapter 11 of the United States Bankruptcy Code of Venator Material PLC (the “Company”), on January 31,
2024, the board of directors of the Company approved the Company’s termination of the registration of the Company’s ordinary
shares, $0.001 par value per share, under the Securities Exchange Act of 1934, as amended (the “Deregistration”). In connection
with the Deregistration, the Company intends to file a Form 15 with the U.S. Securities and Exchange Commission (the “SEC”).
