CIELO S.A. (CIEL3) in the portfolios of B3 indices.

Due to the Unified Public Offering (OPA) of common shares for deregistration and/or exit from the Novo Mercado of Cielo S.A. (CIEL3), to be held on 08/14/2024 at 3:00 PM, as per the Notice published on 07/10/2024, B3 announces that it will adopt the procedures described below to adjust the theoretical portfolios of the following stock indices:

1. Successful registration conversion

Upon the successful completion of the Tender Offer to convert the registration category, after the close of the August 14, 2024 regular trading session, the CIEL3 asset will be excluded from the index portfolios listed below, at the Tender Offer Auction price:

GPTW, IBOV, IBRA, IBSD, IBXL, IBXX, ICO2, IDIV, IDVR, IFNC, IGCT, IGCX, IGNM, ISEE, ITAG, IVBX e SMLL.


2. Successful delisting from the Novo Mercado

If the shareholders representing more than 1/3 and up to and including 2/3 of the total number of the float duly allowed for the Tender Offer (a) accept the Tender Offer, selling their equities in the auction or (b) expressly agree with the delisting from the Novo Mercado, but expressly disagree with the registration conversion, without selling their shares at the auction, only the Tender Offer to delist from the Novo Mercado will be considered to have been a success and the CIEL3 asset will be excluded from the IGCT, IGCX and IGNM.

For the following portfolios IBOV, IBRA, IBXL, IBXX, IFNC, ITAG, IVBX, and SMLL, their quantity will be decreased by 365,154,109 shares, remaining with a quantity of 730,308,220.

For IBSD, the theoretical quantity will be decreased by 1,933,919,381 shares, remaining with a quantity of 3,867,838,772. For ICO2, the theoretical quantity will be decreased by 202,282,293 shares, remaining with a quantity of 404,564,586. For IDIV, the theoretical quantity will be decreased by 543,057,719 shares, remaining with a quantity of 1,086,115,438. For IDVR, the theoretical quantity will be decreased by 417,274,658 shares, remaining with a quantity of 834,549,318. For ISEE the theoretical quantity will be decreased by 721,664,309 shares, remaining with a quantity of 1,443,328,621.

The withdrawal price for shares from all the above portfolios will be determined by the price of the auction. The remaining theoretical quantity will continue in the portfolios at the CIEL3 closing price on the cash market on August 14, 2024.


3. Insufficient uptake

If the uptake does not reach the minimum for ordinary shares, corresponding to more than 1/3 of the float duly authorized for the offer, CIEL3 will remain in the above indices, with no adjustment to the theoretical quantity.
