JPY1,000,000,000 Secured Floating Rate Notes due August 2017

ISIN: XS0307424514 (the "Notes")

Terms defined in the terms and conditions of the Notes shall have the same meaning in this notice.

We hereby give you notice that on 25 July 2017, Rhinebridge Plc failed to redeem the Underlying Assets on their Legal Maturity Date. Such failure constitutes an Enforcement Event as described in Condition 12(b) of the terms and conditions of the Underlying Assets.

As a consequence of the occurrence of such Enforcement Event, an Underlying Disposal Event has occurred pursuant to Condition 7(b)(i)(a) of the Notes.

The Notes will be redeemed on the Early Redemption Date in accordance with the provisions of Condition 7(b)(i) (Underlying Disposal Event) of the Notes.

Noteholders will be notified of the date on which the Notes will be redeemed in due course.
