Novation of Series Portfolio Servicer obligations from Western
Mortgage Services Limited to Capita Mortgage Services Limited and
waiver of Series Servicer Resignation Notice Period
Terms used and not defined in this notice shall have the same
meanings given to them in the Note Issue Supplement for the
relevant series of Notes detailed above.
1. The Issuer received a letter of resignation from Western
Mortgage Services Limited (the "Existing Servicer") dated 10
February 2017, pursuant to which the Existing Servicer resigned
from its role as Series Portfolio Servicer under each of the Series
2006-1 Notes, Series 2007-1 Notes and Series 2007-2 Notes.
2. Pursuant to clause 6.1 (Waiver) of the Standard Series Note
Trust Provisions Document and clause 19 (Power of waiver, consent,
modification and amendment) of the Security Intercreditor Deed,
each Series Note Trustee and each Security Trustee for the relevant
series of Notes has waived the requirement in clause 32.2
(Resignation by Series Portfolio Servicer) of the Standard Series
Portfolio Services Provisions Document for the Existing Servicer
under each series of Notes to provide 12 months' notice of its
resignation. The Issuer and the Series Master Servicer have also
each waived this requirement.
3. Great Hall Mortgages No.1 plc confirms that, with effect from
13 May 2017, the rights and obligations of the Series Portfolio
Servicer under each of the Series 2006-1 Notes, the Series 2007-1
Notes and the Series 2007-2 Notes previously performed by the
Existing Servicer have been novated to Capita Mortgage Services
Limited as replacement Series Portfolio Servicer in accordance with
clause 32.2 (Resignation by Series Portfolio Servicer) of the
Standard Series Portfolio Services Provisions Document.
In accordance with normal practice, the Series Note Trustee for
the relevant series of Notes described above expresses no opinion
on the matters described in this notice and has no objection to
this notice being submitted to the relevant Noteholders for their
consideration. Noteholders should take their own advice as to the
contents of this notice. Each Series Note Trustee for the relevant
series of Notes described above is not responsible for the
accuracy, completeness, validity or correctness of the statements
made in this notice or any omissions therein. Each Series Note
Trustee for the relevant series of Notes described above has
reserved its rights and remedies in respect of any matter described
in or related to this notice and at law.
