At the AGM on 13 March 2012, a cash dividend distribution of AED 0.30/share and a stock dividend of 35% (35 bonus shares for every 100 shares) was approved. To give effect to this as per Prospectus clause 5(b)(i) and 5(b)(v) of the NBAD AED 2,000,000,000 US Dollar Subordinated Convertible Notes due 2018 (ISIN XS0346928749), the conversion rate shall be adjusted from 17.41 AED/share to 12.81 AED/share as determined by the Independent Financial Advisor.
