                           DISCLOSEABLE TRANSACTION

                         SALE AND PURCHASE AGREEMENT

First Pacific signs a sale and purchase agreement with Nakornchuen Co. Ltd., a
member of the T.C.C. Group, in relation to the disposal of its entire 83.5 per
cent indirect interest in Berli Jucker.


Reference is made to the announcement of First Pacific Company Limited ("First
Pacific") on 21st November, 2001 relating to the transaction referred to
above.


First Pacific announces that it has signed a sale and purchase agreement with
Nakornchuen Co. Ltd., a member of the T.C.C. Group, in relation to the
disposal of its entire 83.5 per cent indirect interest in Berli Jucker Public
Company Limited ("Berli Jucker") on 28th November, 2001. The terms of the sale
and purchase agreement are substantially the same as those set out in the
announcement made on 21st November, 2001, with additional provisions relating
to representations and warranties.


First Pacific advises that completion of the sale and purchase is expected to
take place on 19th December, 2001, at which time First Pacific will make a
further announcement. A circular containing further details on the disposal
will be despatched to shareholders in accordance with The Rules Governing the
Listing of Securities on The Stock Exchange of Hong Kong Ltd.
