The following supplementary prospectus has been approved by the Financial Conduct Authority and is available for viewing:

Supplementary prospectus dated 23 June 2020 (the " Supplement ") to the Prospectus dated 11 December 2019 (the " Prospectus "), relating to the EUR5 billion Global Covered Bond Programme established by Westpac Securities NZ Limited unconditionally and irrevocably guaranteed by Westpac New Zealand Limited and unconditionally and irrevocably guaranteed as to payments of interest and principal by Westpac NZ Covered Bond Limited. The Supplement incorporates by reference (i) certain sections of Westpac New Zealand Limited's Disclosure Statement for the six months ended 31 March 2020, namely the unaudited consolidated interim financial statements as at and for the six-month period ended 31 March 2020 and the independent auditor's review report (the " Disclosure Statement "), and (ii) certain sections of Westpac Securities NZ Limited's interim financial report for the six months ended 31 March 2020, namely the unaudited non-consolidated interim financial statements as at and for the six month period ended 31 March 2020 and the independent auditor's review report (the " Financial Report ").
