   General Meeting Results

   This announcement is made by Albion Income & Growth VCT PLC ("the 
Company") in connection with the proposed merger of the Company with 
Albion Technology & General VCT PLC ("AATG"). 
 
 
 
   The merger will be completed by way of a scheme of reconstruction of the 
Company pursuant to section 110 of the Insolvency Act 1986 whereby the 
Company will be placed in members' voluntary liquidation and transfer 
all of its assets and liabilities to AATG in consideration for shares 
being issued by AATG ("Scheme"), details of which were contained in the 
Company's circular to shareholders ("Circular") dated 10 October 2013. 
 
 
 
   The Board is pleased to announce that at the general meeting of the 
Company held on 4 November 2013, the resolution proposed to approve the 
Scheme and authorise its implementation by the liquidators in connection 
with the proposed merger 
 
   , as set out in the Circular 
   , was duly passed on a show of hands and with 
 
   97.53% 
 
   of proxy votes received being in favour (or at the chairman's 
discretion)
