                                 RESULT OF AGM


At the Annual General Meeting of Aga Foodservice Group plc held today,
shareholders passed all resolutions proposed, including approval of the Report
and Accounts for the year ended 31st December 2000.

In addition, at the Extraordinary General Meeting of the Company, also held
today, shareholders approved the proposed tender offer to purchase ordinary
shares in the Company up to a total value of #386m less costs, and amendments
to employee share schemes. The result of the tender offer will be announced on
Monday 14th May 2001.
