In conformity with the Transparency Directive's transitional provision 6, Aga
Foodservice Group plc ("Aga") notifies the market of the following:

Aga's capital consists of 129,107,928 ordinary shares of 25 pence with voting
rights. Aga does not hold any shares in Treasury.

Therefore, the total number of voting rights in Aga is 129,107,928.

This figure may be used by shareholders as the denominator for the calculations
by which they will determine if they are required to notify their interest in,
or a change to their interest in, Aga under the FSA's Disclosure and
Transparency Rules.
