        ACQUISITION OF EXCLUSIVE FIREPLACE DESIGNER AND MANUFACTURER,
                                ELGIN & HALL


Elgin & Hall, the design-led producer of paint-finished fireplaces has been
acquired by Aga for #4 million in cash.

Elgin & Hall designs and produces fireplaces from proprietary materials near
Ripon, Yorkshire and employs 55 people.  It sells nationally through 70
fireplace distributors.  In the year ended 31st December 2000 turnover was #3.2
million and operating profits were #600,000.  Net assets at 31st December 2000
were #600,000.

Aga will combine Elgin & Hall's product range with its revitalised
Coalbrookdale fires and stove ranges.  Fired Earth will also commission a range
of fire surrounds as part of its lifestyle sitting-room collection.

William McGrath, Chief Executive of Aga Foodservice said, "The Elgin & Hall
acquisition is another step in developing a brand-led consumer business with
compatible customer bases.  There are exciting opportunities to develop Elgin &
Hall alongside Coalbrookdale and Fired Earth."
