                              TRADING UPDATE AND
                  CONSOLIDATION OF LEAMINGTON SPA PRODUCTION

Aga Foodservice continued to trade satisfactorily in the closing months of
2001 with Group performance being in line with market expectations.  Orders
continued to be encouraging across most of the Group's consumer and
foodservice operations given market uncertainties.

The Group is continuing to deliver on its strategic plans of investing for
growth, both organically and through acquisitions.  Specifically, the Group
recently announced three acquisitions. Two of these, the bakery businesses of
Adamatic in the USA and Millers in the UK, complement Aga's successful Mono
bakery business.  The third was Elgin & Hall, the UK based fireplace
manufacturer.  These acquisitions will supplement organic growth across the
Group, reflected in the launch of important new products at sector-leading
trade shows in the coming months, notably at "KBB 2002" (for bathrooms,
kitchens and appliances) and at "Hotelympia 2002" (for commercial catering
equipment).

The Group also announces changes at its Leamington Spa site, where it produces
double width range style products and also smaller single width slot-in and
eye-level cookers.  As the Group expands its brand-led higher value product
offering, Leamington Spa will focus on range cooker production with further
investment being made to make it a Group development centre for range
cooking.  New Rangemaster and Professional Kitchen Ranges will be introduced
during 2002.

The Group is considering a number of strategic options for its non-range
cooker operations at Leamington Spa, including the possible sale to a third
party of its eye-level and slot-in cooker operations. These are sold under
the Leisure Cooker and Flavel brands and include two of the UK's top selling
gas cooker models, the Cascade and Milano.  These cookers account for over 60
per cent of current production at Leamington Spa and approaching 40 per cent
of Leisure's cooker turnover of #50 million and employ around one third of the
workforce of 800. The markets for these products have become more competitive
with margins coming under increasing pressure. Flavel Fires are also produced
at Leamington Spa. The Group is considering either the sale of this #3 million
turnover business or its consolidation with the Group's Coalbrookdale fire and
stoves operation.

Any effect of the repositioning measures will be provided for in the accounts
for the year ended 31st December 2001. The intention is to move the Head
Office of the Aga Foodservice Group to the Leamington Spa facility later in
the year from Sheldon, Birmingham.

The Group will announce its results for the year ended 31st December 2001 on
22nd March 2002.
