Posting of circular relating to proposed return of cash including notice of
Extraordinary General Meeting on 9 May 2008

Aga Foodservice Group plc ("Aga") is today posting a circular (the "Circular")
to shareholders containing details of the proposed return of cash announced on
14 March 2008. The Company is proposing a cash return of approximately �140
million by way of a `B' / `C' share scheme. The total value of the return will
equate to 121 pence per Existing Ordinary Share and will be accompanied by a
share consolidation of 3 New Ordinary Shares for every 5 Existing Ordinary
Shares.

The Circular includes notice of an Extraordinary General Meeting to approve
inter alia the resolutions necessary to implement the proposed return of cash,
which will be held on 9 May 2008 following the Annual General Meeting of Aga.

Copies of the Circular have been submitted to the UK Listing Authority, and
will shortly be available for inspection at the Document Viewing Facility,
