AGA FOODSERVICE GROUP PLC - AWARDS UNDER THE LONG-TERM INCENTIVE PLAN ("LTIP")

In accordance with the terms of the LTIP, the Company made awards on 25 April
2002 to the directors set out below. There is a range in the number of shares
which each director could be entitled to acquire in respect of the awards,
depending on the Company's total shareholder return compared with the TSR of 
each of the other companies constituting the Engineering General sub-sector of 
the FTSE Actuaries industry sector for Engineering and Machinery over a three 
year performance period. There is a nominal £1 payable on exercise of an award.

The awards for the directors under the LTIP are as follows:
