AGA FOODSERVICE GROUP PLC - DEALINGS BY DIRECTORS

On 12 September 2002, Shaun Michael Smith, Finance Director, acquired 10,000
ordinary shares (representing 0.008% of the total issued share capital of the
Company) at #2.23 per share and his total shareholding following this
transaction is 16,000 ordinary shares (representing 0.012% of the total issued
share capital of the Company).

In accordance with the Rules of the Long-Term Incentive Plan (" LTIP"), certain
awards granted on 23 June 1999 have been exercised.   The details are as
follows:-

William Brendan McGrath, Chief Executive, has today acquired 75,757 ordinary
shares (representing 0.059% of the total issued share capital of the Company)
for a nominal consideration of #1.00. Mr McGrath has today sold in the market
21,450 of these shares at #2.20 to cover part of the likely income tax liability
arising. Following such sale and this notification his total shareholding is
76,807 ordinary shares (representing 0.059% of the total issued share capital of
the Company).

Stephen Rennie, Chief Operating Officer, has today acquired 55,555 ordinary
shares (representing 0.043% of the total issued share capital of the Company)
for a nominal consideration of #1.00.  Mr Rennie has today sold in the market
22,450 of these shares at #2.20 to cover the likely income tax liability
arising.  Following such sale and this notification his total shareholding is
43,700 shares (representing 0.034% of the total issued share capital of the
Company).

Anthony Joseph Wilson has today acquired 77,833 ordinary shares (representing
0.060% of the total issued share capital of the Company) for a nominal
consideration of #1.00.  His total holding following this notification amounts
to 99,308 ordinary shares (representing 0.077% of the total issued share capital
of the Company).
