TOTAL VOTING RIGHTS

In accordance with the Financial Conduct Authority's Disclosure and
Transparency Rule 5.6, AGA Rangemaster Group plc (the "Company") notifies the
market of the following:

As at 31 December 2013, the Company's issued share capital consists of
69,264,223 ordinary shares of 46 7/8 pence with voting rights. The Company does
not hold any shares in Treasury. Therefore, the total number of voting rights
in the Company is 69,264,223.

This figure may be used by shareholders as the denominator for the calculations
by which they will determine if they are required to notify their interest in,
or a change to their interest in, the Company under the Financial Conduct
Authority's Disclosure and Transparency Rules.
