      conditions set are achieved in full. The performance period is 3 years
      and there will be no retesting of the award. The performance criteria are
      50% based upon TSR compared to the FTSE SmallCap Index and 50% based on
      EPS growth using an absolute scale. There will be straight line vesting
      between the threshold and the maximum target.
