On 27 November 2001, it was intimated to Axis-Shield plc that the Imperialise 
Pension Fund of which Nigel Keen, the Chairman and acting Chief Executive of 
Axis-Shield plc, is the sole beneficiary, bought 10,000 ordinary shares in the 
share capital of Axis-Shield plc.

The transaction took place at 4 p.m on 23 November 2001, with an average price 
of 364p per ordinary share in the share capital of Axis-Shield plc. Prior to 23 
November 2001, Nigel Keen did not have an interest in any ordinary shares of the
Company.

This announcement requires to be made on the London Stock Exchange and is 
repeated in Norway for Oslo Stock Exchange purposes in accordance with the 
"equivalent information" rule (Rule 9.9 of the UK Listing Authority Rules).
