                    ANNOUNCEMENT TO THE OSLO STOCK EXCHANGE

                              LONDON STOCK EXCHANGE

On 6 June 2002, it was intimated to Axis-Shield plc that Dr Ian D Gilham, a
Director of Axis-Shield plc purchased 3,000 Ordinary Shares of Axis-Shield plc
at a price of GBP3.20 per share on 5 June 2002.

Prior to this purchase Dr Gilham held no shares in Axis-Shield plc. His
shareholding in Axis-Shield plc is therefore now 3,000 Ordinary Shares.

This announcement requires to be made on the London Stock Exchange and is
repeated in Norway for Oslo Stock Exchange purposes in accordance with the
"equivalent information" rule (Rule 9.9 of the UK Listing Authority Rules).
