On 18 September 2002, it was intimated to Axis-Shield plc that Paul Garvey, the
Finance Director and Company Secretary of Axis-Shield plc purchased 800 Ordinary 
Shares of 35p each of Axis-Shield plc at a price of GBP1.05 per share on 
18 September 2002. The 800 Ordinary Shares are registered in his name but the 
beneficial interest is vested in two of his children who are under the age of 
18 - accordingly this announcement requires to be made due to the provisions of 
Section 328 of the Companies Act 1985. This increases his shareholding to 
6,835 Ordinary Shares.

This announcement requires to be made on the London Stock Exchange and is 
repeated in Norway for Oslo Stock Exchange purposes in accordance with the 
"equivalent information" rule (Rule 9.9 of the UK Listing Authority Rules).
