BIDCORP PLC ("Bidcorp" or "the Company")

Result of the Court Meeting and EGM

At the Company's court meeting and extraordinary general meeting held earlier
today all resolutions were duly passed including, inter alia, the approval of
the Scheme of Arrangement ("the Scheme").

The Scheme remains conditional upon sanction by the Court and the registration
of the Final Court Order by the Registrar of Companies in England and Wales,
which is expected to occur on 2 August 2004.
