March 2024 --- Beeks Financial Cloud
Group plc (AIM: BKS), a cloud computing and connectivity provider
for financial markets, announces that today it is issuing a total
of 520,729 ordinary shares of 0.125 pence each ("Ordinary Shares")
following the exercise of options under the Beeks Financial Cloud
Employee Share Option Plan, at an exercise price of 0.125 pence per
Ordinary Share (the "Option Shares"). 240,000 of the Option Shares
were held by Fraser McDonald, Chief Financial Officer of the
Company and a person discharging managerial
responsibilities.
Concurrently, Mr. McDonald sold
284,118 ordinary shares of 0.125 pence each ("Ordinary Shares") at
a price of 165 pence per share. In addition, Gordon McArthur, Chief
Executive Officer sold 2,200,000 ordinary shares of 0.125 pence
each ("Ordinary Shares") also at a price of 165 pence per
share.
These PDMR dealings were undertaken
both for personal reasons and also to satisfy institutional
investor demand. Pursuant to these transactions and upon Admission
(as defined below), Mr. McArthur will retain a substantial
shareholding of 21,653,440 Ordinary Shares, representing 32.6% of
the total enlarged issued share capital of the Company. This
shareholding now excludes 740,000 Ordinary Shares that continues to
be held by Mr. McArthur's former spouse. Upon Admission, Mr.
McDonald will no longer retain a holding of Ordinary Shares in the
Company and retains unexercised options over 719,742 ordinary
shares. Both Directors remain fully committed to the Company and
its growth prospects.
Application will be made for the
520,729 new Ordinary Shares to be admitted to trading on AIM
("Admission"), and dealings are expected to commence on or around
28 March 2024. The new Ordinary Shares will rank pari passu with
the Company's existing Ordinary Shares.
Following Admission, the Company
will have 66,427,517 ordinary shares of 0.125 pence each in issue.
The Company has no shares in treasury, therefore the figure of
66,427,517 should be used by shareholders for the calculations by
which they will determine if they are required to notify their
interest in, or a change of their interest in, the share capital of
the Company under the FCA's Disclosure and Transparency
Rules.
