Recommended Offer for Bandt plc

Please be advised that a meeting of the Board of Directors of the above company
took place at 2.00 p.m. on Tuesday 10th August 1999 at which Messrs W G Andrews,
R H Wilson, J S Singleton, R C Rutter, T P Sooke, and M J Farebrother resigned
as directors of Bandt plc and Messrs M C Bottjer, A R Hannah, M S Lee, and G J
Wentzell were appointed as executive directors of Bandt plc, with Mr M C Bottjer
also being appointed Chairman.

At the same meeting Mr R C Rutter resigned as Secretary of Bandt plc, and Mr T
Bradbury was appointed in his stead.
