                  ISSUE OF NEW SHARES ON CONVERSION
                        OF CONVERTIBLE NOTES

Brierley Investments Limited announces that the holders of 306,098,467
convertible notes of the Company have elected for conversion of their notes into
ordinary shares and accordingly 306,098,467 ordinary shares will be issued on 30
June 1998.  The number of ordinary shares then on issue will be 2,985,273,942.

The new shares will be credited as fully paid and will rank equally with the
ordinary shares then on issue, except for any dividend authorised in respect of
any financial period of the company ended on or prior to 30 June 1998.
