RECOMMENDED CASH OFFER FOR
BRENT INTERNATIONAL PLC ("Brent") BY WARBURG DILLON READ
ON BEHALF OF CHEMETALL GmbH
In connection with the offer (the "Offer") made on 21
July 1999 by Warburg Dillon Read on behalf of Chemetall
GmbH, a wholly-owned subsidiary of Dynamit Nobel AG, to
acquire all of the issued and to be issued Brent Ordinary
Shares, acceptances have been received in respect of more
than 90 per cent. of the Brent Ordinary Shares to which
the Offer relates.
Chemetall GmbH has today posted compulsory acquisition
notices pursuant to section 429(4) of the Companies Act
1985 to Brent Ordinary Shareholders who have not validly
accepted the Offer.
It is anticipated that application will be made to the
London Stock Exchange for Brent Ordinary Shares to be
delisted from the London Stock Exchange on 27 October
1999.
Warburg Dillon Read, the investment banking division of
UBS AG, which is regulated in the UK by The Securities
and Futures Authority Limited, is acting for Dynamit
Nobel AG and Chemetall GmbH and no one else in connection
with the Offer and will not be responsible to anyone
other than Dynamit Nobel AG and Chemetall GmbH for
providing the protections afforded to customers of
Warburg Dillon Read or for providing advice in relation
to the proposals set out in this letter.
The Offer is not being made, directly or indirectly, in
or into the United States or Canada.
