              Business Systems Group Holdings Plc (the "Company")

                              Reduction of Capital

Business Systems Group Holdings plc announces that, on 4th February 2004, the
High Court of Justice confirmed the cancellation of the Company's share premium
account of #13,940,007.18.

The Order of the Court was filed with the Registrar of Companies today and the
reduction of the share premium account will become effective on registration of
the order.

The effect of this reduction will be to eliminate the deficit in the Company's
reserves and create a credit balance on the profit and loss account of the
Company and the group.
