                              Possible acquisition

Business Systems Group Holdings plc ("BSG") announces that it has signed a heads
of terms agreement to acquire certain business and assets of Global Network
Solutions Europe Ltd ("GNS"). The assets relate to GNS' managed hosting and IT
maintenance business along with some sales and technical staff currently
employed within the GNS business. This possible acquisition is in line with
BSG's strategic aim of increasing its managed services offering.

The initial consideration for the acquisition is expected to be in the region of
#115,000 with a possible maximum consideration of up to #800,000 being paid
following an earn-out period.

Discussions and due diligence are progressing in relation to this possible
acquisition and a further announcement will be made in due course.
